thiinkVP LLC – Master Terms & Conditions

1. PROVISION OF SERVICES
1.1. Managed Services: thiinkVP LLC (“the Company”) provides Managed Security Services (MSSP) and Remote Monitoring and Management (RMM) under the brand “Silent Edge.” 1.2. Technical Partner Disclosure: These services are delivered in technical partnership with SHEL INFOSEC (PTY) LTD. By engaging our services, the Client acknowledges that the technical backend, Security Operations Center (SOC) monitoring, and threat analysis are performed by SHEL INFOSEC under a Master Reseller Agreement. 1.3. Scope: The specific services provided are governed by the Tier (Solo, CoreGuard, Sentinel, ApexShield) selected by the Client at checkout or via signed Statement of Work (SOW).
2. COMPLIANCE & DATA PRIVACY
2.1. Regulatory Compliance: The Company and its partners comply with relevant information security standards including, but not limited to:
- HIPAA: For clients in the healthcare sector, the Company acts as a “Business Associate” (BA). A separate Business Associate Agreement (BAA) may be required.
- PCI DSS: We ensure that our management of environments follows Payment Card Industry Data Security Standards where applicable to our systems.
- GDPR / POPIA / CCPA: We adhere to strict data privacy protocols regarding the transfer of metadata and system logs between the United States and South Africa. 2.2. Data Residency: Client acknowledges that metadata and system logs necessary for threat hunting may be processed in global SOC locations managed by SHEL INFOSEC. No personal sensitive data is moved unless critical for an investigation.
3. LIMITATION OF LIABILITY & “NON-WARRANTY” OF SECURITY
3.1. Proactive vs. Absolute Security: The Client acknowledges that cybersecurity is an evolving field. While the Company uses top-tier software and competent cyber analysts with a flair for threat analysis, no security solution is 100% impenetrable. 3.2. Limitation of Liability: In no event shall thiinkVP LLC, its directors, or its technical partner (SHEL INFOSEC) be liable for any damages (including data loss, business interruption, or financial loss) resulting from a cyber-attack, breach, or compromise, provided that:
- The Company was not grossly negligent.
- All automated patches and security updates were deployed according to the Service Tier.
- The compromise resulted from a “Zero-Day” exploit or an advanced persistent threat (APT) that could not reasonably have been prevented by standard industry practices. 3.3. Force Majeure: We are not liable for service interruptions caused by factors beyond our reasonable control, including backbone internet failures or nation-state infrastructure attacks.
4. CLIENT RESPONSIBILITIES
4.1. Security Hygiene: The Client is responsible for maintaining basic password hygiene and ensuring physical access to devices is restricted. 4.2. Non-Interference: The Client shall not attempt to reverse-engineer or disable the Silent Edge RMM agents. Doing so voids all service guarantees and liability protections. 4.3. Administrative Access: Client grants thiinkVP and SHEL INFOSEC the necessary administrative rights to monitor, patch, and remediate threats on the enrolled endpoints.
5. FINANCIALS & REFUNDS
5.1. Billing: All services are billed in USD by thiinkVP LLC. 5.2. Refund Policy:
- Managed Services: Due to the immediate allocation of analyst resources and software licenses, monthly subscription fees are non-refundable once the billing cycle has commenced.
- Cancellation: Clients may cancel at any time with 30 days’ notice.
6. INDEMNIFICATION
The Client agrees to indemnify and hold harmless thiinkVP LLC and SHEL INFOSEC against any third-party claims arising from the Client’s use of the services in a manner that violates law or these Terms.
7. GOVERNING LAW
These Terms are governed by the laws of the State of [Your Registered US State], United States. Any disputes arising from the technical delivery by the South African partner shall be mediated by thiinkVP LLC as the primary contracting party.
